These Terms & Conditions (“Terms”) govern the subscription services provided via TapScan.me, operated by The Halcyon Collective (together “we”, “us”, “our”) to business customers (“you”, “your”, “Client”).

By purchasing, subscribing to, or using the Service, you agree to these Terms.

1. Who We Are

TapScan.me and The Halcyon Collective are trading names of ItsSortd Ltd (England & Wales).

2. Definitions

  • “Service” means our customer data capture and weekly export service, including hosted landing pages and the associated QR/NFC-enabled stands and/or bill cards.

  • “Stand” means any physical display stand provided to you (including acrylic stands and inserts).

  • “Bill Cards” means credit-card sized QR/NFC cards provided to you for use with bills and tables.

  • “Landing Page” means the hosted page on our subdomain used to capture opt-ins (e.g. yourbusiness.tapscan.me).

  • “Customer Data” means personal data submitted by end customers via the Landing Page.

  • “Weekly Export” means the weekly delivery of Customer Data to you.

  • “Subscription Term” means each billing period (monthly, quarterly, or annual, depending on your plan).

  • “Pause / Suspension” means temporary disabling of data capture and/or exports due to non-payment, breach, or misuse.


3. Our Services

3.1 What we provide

Subject to your selected plan, we provide:

  • A hosted Landing Page on our subdomain (see 3.4)

  • QR + NFC configuration linking to the Landing Page

  • Collection of customer opt-ins submitted through the Landing Page

  • Weekly delivery of Customer Data to you (the “Weekly Export”)

  • Support as reasonably required to operate the Service

3.2 Changes to the Service

We may improve, modify, or update the Service over time. Where changes materially reduce core functionality, we will use reasonable efforts to notify you.

3.3 Business use only

The Service is intended for business use. If you are a consumer, these Terms may not apply.

3.4 The Landing Page

The Landing Page is a hosted opt-in form designed to collect customer submissions and related information.

It is not a full website and does not include:

  • multiple pages

  • navigation menus

  • blog or content management features

  • SEO optimisation

  • custom design or layout changes (unless separately agreed)

The structure, layout, and functionality of the Landing Page are standardised to ensure consistency, performance, and data integrity.


4. Subscription, Billing & Payment

4.1 Fees & billing

  • Subscription fees are billed in advance in accordance with the plan selected (monthly, quarterly, or annual).

  • Prices are shown in GBP (£) unless stated otherwise.

  • Plans renew automatically at the end of each Subscription Term unless cancelled in accordance with Section 6.

4.2 Payment authorisation

By subscribing, you authorise us (or our payment processor) to charge your chosen payment method on a recurring basis.

4.3 Fee changes

We may change pricing. If we do, we will give reasonable notice before the new price applies.

4.4 Taxes

You are responsible for any taxes, duties, or charges applicable to your subscription, unless we state otherwise.


5. Weekly Data Exports

5.1 Frequency

We aim to deliver Customer Data weekly.

5.2 No guaranteed volumes

We do not guarantee any minimum number of sign-ups, opt-ins, or leads.

5.3 Delivery method

We will provide Weekly Exports via a method we specify (e.g. email export, secure link, dashboard, etc.).


6. Cancellation & Refunds

6.1 Cancelling your plan

You may cancel your subscription by giving at least 10 days’ notice before your next renewal date (via email or account settings, if available).

6.2 End of term

Cancellation takes effect at the end of your current paid Subscription Term.

6.3 No partial refunds

Fees are non-refundable once a Subscription Term begins (including partial months), unless required by law.
For quarterly or annual plans, we do not offer pro-rata or partial refunds for unused time.


7. Failed Payments, Pausing & Reactivation

7.1 Failed payments

If a payment fails, we may re-attempt collection.

7.2 Suspension

If payment is not successfully received within 10 days of the renewal date (or earlier where required to prevent ongoing service delivery), we may pause the Service. During a pause:

  • Your Landing Page may be disabled from collecting new submissions, and/or

  • Weekly Exports may be withheld, and/or

  • Access to the Service may be restricted

7.3 Reactivation

If you later pay outstanding fees, we may reactivate your Service. Reactivation is not guaranteed if:

  • we have discontinued the Service, or

  • the setup is no longer supported, or

  • there has been misuse or breach of these Terms


8. Stands, Bill Cards, QR Codes, NFC & Hosted Landing Pages

8.1 Hardware ownership

Unless otherwise agreed, physical items provided to you (stands, inserts, bill cards) are yours to keep once supplied. This does not transfer intellectual property or platform rights.

8.2 Hosted destination

All QR/NFC interactions are configured to direct customers to our hosted Landing Page on our subdomain. You do not own or control the underlying destination URL routing.

8.3 No tampering

You must not attempt to copy, clone, reverse engineer, interfere with, or reroute QR/NFC configuration or any part of the Service.

8.4 Deactivation / restriction

We reserve the right to restrict functionality of the Service (including pausing data collection or exports) in the event of:

  • non-payment

  • suspected misuse

  • breach of these Terms

  • legal or security requirements

8.5 Replacement

If physical items are damaged, lost, or stolen, replacements may be available for an additional fee.


9. Data Ownership & Use

9.1 Client ownership

You retain 100% ownership of your Customer Data.

9.2 Our role

Where we process Customer Data collected via your Landing Page, we generally act as a data processor and you act as the data controller (for UK GDPR purposes), unless agreed otherwise in writing.

9.3 Platform improvement

We may use anonymised, aggregated, or permission-based data to improve the Service, develop new services, and understand trends.

9.4 Future customer discovery

Where customers opt in, their data may be used to inform them about relevant venues, offers, or experiences, always in a permission-based and opt-out-friendly way.

9.5 No resale

We do not sell identifiable Customer Data to third parties.


10. Client Responsibilities (GDPR & Marketing)

You are responsible for ensuring you have a lawful basis to contact your customers (e.g. consent) and for complying with applicable laws (UK GDPR, PECR, and any other relevant regulations).

You are solely responsible for the content, timing, and compliance of any email/SMS/marketing campaigns you send using Customer Data.

You must include appropriate opt-out/unsubscribe mechanisms where required.


11. Confidentiality

Each party may receive confidential information from the other. Each party agrees to keep confidential information secure and not disclose it except:

  • to employees/contractors who need to know, or

  • where required by law.


12. Intellectual Property

All intellectual property in and to the Service, including:

  • website/software

  • Landing Page templates

  • workflows

  • QR/NFC system setup and routing

  • branding and content we create
    remains owned by us or our licensors.

You receive a limited, non-exclusive, non-transferable right to use the Service during an active subscription.


13. Acceptable Use

You must not:

  • use the Service for illegal purposes

  • attempt unauthorised access to systems

  • disrupt or overload the Service

  • harvest data or use the Service to compete with us

  • misrepresent the Service to customers

We may suspend access for breaches.


14. Service Availability & Changes

We aim for reliable availability but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, outages, or third-party failures (hosting/payment providers). We are not liable for downtime except as required by law.


15. Disclaimers

The Service is provided on an “as is” and “as available” basis. We do not guarantee:

  • specific results, sales, lead volume, or conversion rates

  • that the Service will meet all of your specific requirements


16. Limitation of Liability

Nothing in these Terms limits liability for fraud, death/personal injury caused by negligence, or any liability that cannot be excluded by law.

Subject to the above:

  • We are not liable for indirect or consequential losses (including loss of profit, revenue, goodwill, or business interruption).

  • Our total liability to you for any claim arising under these Terms is limited to the total fees you paid to us in the 3 months immediately before the event giving rise to the claim.


17. Indemnity

You agree to indemnify us against claims, losses, and expenses arising from:

  • your marketing communications or campaigns

  • your breach of data protection/marketing laws

  • your misuse of the Service

  • your breach of these Terms


18. Data Retention

During an active subscription, Customer Data is stored and processed to provide the Service.

After cancellation or prolonged suspension, we may:

  • provide a final export (at our discretion), and/or

  • delete or anonymise Customer Data after a reasonable period, unless legally required to keep it


19. Termination

We may terminate or suspend the Service immediately if you materially breach these Terms, misuse the Service, or we are required to do so by law or for security reasons. Termination does not affect any fees owed up to the date of termination.


20. Electronic Communications

You agree that communications with us electronically (e.g. email, online forms) satisfy legal requirements for written communication.


21. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over disputes.


22. Changes to These Terms

We may update these Terms from time to time. The latest version will be posted on our website, and continued use of the Service constitutes acceptance.
